A note to early adopters. We wrote these terms to put most of the risk on RecipeYield, not on you. If anything doesn’t sit right, or you’d like to change something, just email us — we treat early adopters as partners, not customers, and we’re here to help you bring this to your blog.

Publisher Terms

These Publisher Terms (“Terms”) govern the relationship between Zest Delicious Software LLC (“RecipeYield,” “we,” “us,” “our”) and a site that installs the RecipeYield WordPress plugin (the “Publisher,” “you,” “your”). By installing the plugin or applying to join, you agree to these Terms and our Privacy Policy.

Definitions

• “Plugin” means the RecipeYield WordPress plugin we provide to you.
• “Ad-free access” means a reader’s paid right to view a specific recipe on your site without ads.
• “Fee” means our platform fee, a percentage of what readers pay, as set out in these Terms.

License

We grant you a non-exclusive, non-transferable license to install and run the Plugin on the site(s) you register with us, for so long as these Terms are in effect. The Plugin is provided as a zip; its PHP/JavaScript remains GPL-compatible as required by WordPress. The hosted API, pricing models, and our tools remain ours. You will not submit the Plugin to wordpress.org or resell or redistribute it.

Early access and onboarding

You may apply by completing the form on recipeyield.io. We will review your site and confirm by email. Onboarding is done together over email and a call: we fit the Plugin to your hosting, ad network, and caching, and we do not switch on ad-free options until we have confirmed they are working on your site.

Early-adopter fee

The current Fee is 10% of what readers pay. Early adopters receive a 50% discount on the Fee — 5% — for life. We will give you at least thirty (30) days’ notice before changing the Fee; the discount applies to the then-current Fee, and the 50% discount itself will not be reduced or removed while you remain in good standing under these Terms.

Stripe Connect and payments

You complete Stripe Connect so you can receive payouts. RecipeYield is the merchant of record for reader payments: we charge the reader, and Stripe transfers your share to your connected account after deducting our Fee. Each party is responsible for its own taxes under applicable law.

A reversed ad-free purchase is treated as if it never happened. We earn our Fee only on revenue actually settled to you; a refund, chargeback, or fraudulent reversal generates no revenue and no Fee. Because we are the merchant of record, we bear the dispute cost, so no reversed transaction reduces what you earned on valid purchases. We may decline checkouts we consider high risk, and this does not apply where you are responsible for the reversal or are in material breach of these Terms.

Ad suppression and your network relationship

We integrate directly with your ad network and ask it not to load ads for a reader with ad-free access. We do not use adblocking code, which would be non-compliant with most networks. You keep your own relationship with Raptive, Mediavine, Google, or your other network.

Before offers go live, we will provide a sample recipe URL with an explanation of how suppression works and, with your help, obtain your ad network’s approval. You may instead contact your network yourself. We do not show offers to real traffic until your network has approved.

We verify suppression on your live site before enabling offers and will promptly correct any confirmed failure. We only show an offer when we can price it to beat the ads it replaces and can reliably suppress ads for that reader; we may withhold offers on URLs we cannot price or cannot reliably suppress.

Revenue transparency and holdback

We keep a portion of your traffic (typically 10%) seeing ads as normal, so ad-only performance is measured on the same recipes at the same time.

In each calendar month, we commit that the net revenue from ad-free purchases in the ad-free group (after our Fee) is at least equal to the holdback group’s ad revenue on a like-for-like basis, within a 5% tolerance. If it falls short, we will re-price, stop showing offers on the affected recipes, or make up the difference.

We report your exact sales, how many of those purchases returned, and a monthly ad-versus-RecipeYield comparison for your blog.

Before enabling offers, we may run the plugin in observation mode — no offers, or offers only to the holdback group — to establish your ad baseline.

Software defects

We will use commercially reasonable efforts to keep the Plugin free of material defects and to correct confirmed defects promptly and without charge to you. If a defect in the Plugin directly causes you a loss — including lost advertising revenue, additional out-of-pocket costs, or a data incident for which we are responsible — we will reimburse that loss. To claim, email ${mail(LEGAL_EMAIL)} within thirty (30) days of the end of the month in which the loss occurred, together with evidence of the loss and its cause so we can verify them together.

Scope and exclusions

The Revenue transparency and holdback and Software defects sections apply only to losses caused by RecipeYield. They do not cover losses caused by your misuse of the Plugin, your ad network, your hosting or caching environment, third-party software, a change in your traffic, force majeure, or your failure to install an update we provided to fix a defect.

Data processing

You instruct us to process reader emails, ad-free purchases, and ad metrics to operate the Service. Details are in the Privacy Policy. Keep your network credentials accurate; we store them encrypted at rest and use them only to ingest RPM and pricing data.

Fees, taxes, and reporting

Prices are in US dollars. We email you a weekly summary of ad-free purchases, estimated ads kept, net versus ads-only, and any recipes with no offer.

Representations and warranties

You represent that you own, or are authorized to operate, the registered site, that the information you provide (including audience size) is accurate, and that you have the right to use any content on your recipes.

Term, suspension, and termination

Either party may stop new offers on thirty (30) days’ notice, except that we may stop immediately where required by law, an ad network, or fraud. We may disable new checkouts at any time without invalidating entitlements already issued, and we will give you the reason on a best-efforts basis. Amounts you have already earned remain owed and will be paid.

When these Terms end, we will continue to honor ad-free access purchased before termination for a run-out period of twelve (12) months, provided you keep the Plugin (or the server-side integration) installed and unmodified during that period. If you remove it earlier, our obligation to honor ad-free access ends and you are responsible for refunds to affected readers. After the run-out, ordinary ads return for everyone. On request, we will export your active ad-free access list (reader identifier and recipe URL).

Confidentiality

Each party will keep the other’s non-public information confidential and use it only to perform these Terms, except as required by law.

Limitation of liability

To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees you have paid us in the twelve (12) months before the claim — except that this limit does not apply to our obligations under Revenue transparency and holdback and Software defects, or to fraud, gross negligence, or willful misconduct.

Dispute resolution and governing law

Any dispute will be resolved by binding arbitration in Dover, Delaware, under the Commercial Arbitration Rules of the American Arbitration Association, by a single arbitrator in English, with each party waiving class actions and jury trials. Either party may instead bring a qualifying claim in a small-claims court of competent jurisdiction, and the arbitration agreement will not apply to such a claim. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and any court proceeding will be brought in the state or federal courts in Dover, Delaware.

Changes to these Terms

We may update these Terms. For material changes — including a change to the Fee, the revenue share, the suppression commitment, our liability, or dispute resolution — we will give you at least thirty (30) days’ notice by email, and you may terminate on that notice if the change materially harms you, keeping the run-out protections. Other changes take effect when posted.
